Terms of Service

These Terms of Service ("Terms") govern the purchase and supply of Multi Cable Transit (MCT) systems, sealing modules, transit frames, compression units, spare parts, and related services (the "Products") by DEWIN ("DEWIN," "we," "us," or "our") to any business customer ("Customer," "you," or "your") who requests a quotation, places an order, or otherwise engages DEWIN through www.dewinmct.com or a direct sales channel. By requesting a quotation, submitting a purchase order, or accepting delivery of Products, you agree to be bound by these Terms.
1. Acceptance of Terms
Access to DEWIN's website, catalogues, technical drawings, quotations, and any resulting purchase order constitutes acceptance of these Terms in full. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that company.
These Terms apply to all quotations, order confirmations, and sales contracts issued by DEWIN unless a separately signed supply agreement expressly states otherwise. In case of conflict, the signed supply agreement prevails.
2. Definitions
- "Products"
- MCT frames, TSR round sealing assemblies, TSC square sealing modules, compression units, stay plates, spare parts, and any custom or OEM parts manufactured by DEWIN.
- "Order"
- A purchase order submitted by the Customer and accepted in writing by DEWIN through an order confirmation.
- "Specifications"
- Dimensions, tolerances, material composition, sealing pressure ranges, and performance data published in DEWIN's spec sheets or agreed in writing.
- "Incoterms"
- The applicable version of the International Chamber of Commerce delivery terms referenced in an order confirmation.
3. Products and Specifications
DEWIN manufactures and supplies Multi Cable Transit systems, including round sealing assemblies (TSR series), square sealing modules (TSC series), transit frames, compression units, stay plates, and spare parts. Products are described dimensionally for compatibility with common 120-frame standards; DEWIN does not use, and Customer shall not use in resale materials, any competitor's trademark to describe such compatibility.
Published dimensions, sealing pressure ranges (typically 0.01-0.4 MPa depending on model), ingress protection ratings, and fire ratings are provided for guidance. Performance figures marked as available on request are supported by test documentation issued only upon formal request and are not implied by product listings alone.
DEWIN reserves the right to make minor design or material changes that do not affect fit, form, or certified performance, without prior notice. Changes affecting certified performance will be communicated before shipment of affected Orders.
4. Quotations and Pricing
Quotations issued by DEWIN are valid for the period stated on the quotation document, or 30 calendar days if no period is stated. Prices are quoted in the currency and Incoterms specified and exclude duties, taxes, and bank charges unless stated otherwise.
Cross-reference pricing comparing an existing model to a DEWIN equivalent is indicative and intended to support internal sourcing evaluation. Final pricing is confirmed only in a written order confirmation.
5. Orders and Payment
An Order becomes binding only upon DEWIN's written order confirmation. DEWIN reserves the right to decline or amend an Order prior to confirmation, including in cases of pricing errors or specification mismatches identified during technical review.
Standard payment terms are stated on the order confirmation and typically require a deposit prior to production, with the balance due prior to shipment or against shipping documents, unless alternative terms have been agreed in writing.
Late payment may result in suspension of production, delayed delivery, or forfeiture of any deposit already paid, at DEWIN's discretion and after written notice to Customer.
6. Samples and Cross-Reference
DEWIN offers free validation samples for qualifying Customers, limited to reasonable quantities per model per Customer. Sample shipping costs may be borne by the Customer unless otherwise agreed. Samples are provided for fit and performance validation and do not constitute a binding supply commitment.
Cross-reference tables mapping an existing model to a DEWIN equivalent are provided as a sourcing aid based on dimensional data supplied by the Customer or measured by DEWIN. Customer remains responsible for independently verifying fit before large-scale substitution.
7. Shipping, Delivery and Risk of Loss
Delivery dates stated in an order confirmation are estimates based on production schedule and shipping method at the time of confirmation. DEWIN will notify Customer promptly of any anticipated delay and its cause.
Risk of loss or damage transfers to Customer in accordance with the Incoterms stated on the order confirmation. Claims for shipping damage or shortage must be reported to DEWIN in writing within 7 calendar days of receipt, accompanied by photographic evidence.
8. Custom and OEM/Private Label Products
For custom sizes, custom mold development, or OEM/private label production, terms for tooling cost, tooling ownership, minimum order quantity, and lead time are set out in a separate written agreement or the relevant order confirmation and prevail over any conflicting provision of these general Terms.
Unless otherwise agreed in writing, molds developed and paid for by Customer under an exclusive tooling agreement remain reserved for that Customer's production; molds funded by DEWIN remain DEWIN's property.
9. Intellectual Property
All designs, drawings, patents, and manufacturing processes underlying DEWIN Products, including DEWIN's 38+ granted patents, remain the exclusive property of DEWIN. Nothing in these Terms transfers ownership of any DEWIN intellectual property to Customer.
Technical drawings, CAD/STEP files, and datasheets are provided solely to support Customer's evaluation, design integration, and quality qualification, and may not be redistributed to third parties for competing manufacture without DEWIN's written consent.
10. Certifications and Compliance
DEWIN's quality system is certified to ISO 9001 and IATF 16949, and DEWIN's factory is BV-approved. Product-level certifications, fire ratings, and IP ratings apply only to the specific models and scope stated in the corresponding test report or certificate, which is made available on request.
A factory-level quality certification does not by itself imply certification of any individual product for a specific regulatory scheme. Customer is responsible for confirming that a given certification scope satisfies the regulatory requirements of its end project.
11. Warranty
DEWIN warrants that Products, at the time of shipment, conform to the agreed Specifications and are free from defects in material and workmanship. The warranty period is stated in the order confirmation and, unless otherwise agreed, is 12 months from the date of shipment.
This warranty does not cover damage caused by improper installation, unauthorized modification, use outside the rated sealing pressure or cable diameter range, or normal wear. DEWIN's sole obligation under this warranty is, at its discretion, to repair, replace, or issue credit for defective Products.
12. Limitation of Liability
To the maximum extent permitted by applicable law, DEWIN's total liability arising out of or in connection with any Order shall not exceed the price paid by Customer for the specific Products giving rise to the claim.
DEWIN shall not be liable for indirect, incidental, consequential, or special damages, including loss of profit, loss of production, or project delay costs, even if DEWIN has been advised of the possibility of such damages.
13. Confidentiality
Each party agrees to keep confidential any technical drawings, pricing, cross- reference data, or project information shared under an Order, and to use such information solely for the purpose of evaluating, fulfilling, or supporting that Order, unless the information is already public or independently developed.
14. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disaster, war, port congestion, raw material shortage, or government action. The affected party will notify the other promptly and resume performance as soon as reasonably possible.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles, unless a separately signed supply agreement specifies otherwise. Disputes not resolved through good-faith negotiation shall be submitted to arbitration in a venue agreed in the relevant order confirmation or supply agreement.
16. Changes to These Terms
DEWIN may update these Terms from time to time. The effective date at the top of this page reflects the version currently in force. Changes apply to Orders confirmed on or after the updated effective date and do not retroactively alter Orders already confirmed.
